Terms and Conditions for Tengai POS

1. Introduction
Welcome to Tengai POS (“Service”), a Point of Sale System owned and operated by Tengai Solutions (Private) Limited (“we,” “us,” or “our”). By accessing or using our Service through our website tengaipos.com (https://tengaipos.com ), the Tengai POS mobile application (“Mobile App”), or web application (“Web App”), you (“User” or “you”) agree to comply with and be bound by these Terms and Conditions (“Terms*”). If you do not agree, do not use the Service.

2. Acceptance of Terms
By creating an account, logging in, or using Tengai POS, you confirm that you:
• Are at least 18 years old or legally authorized to bind your business to these Terms.
• Agree to these Terms, our Privacy Policy , and all applicable laws.

3. Account Registration
3.1 Account Creation
To use Tengai POS, you must register by providing:
– A valid email address and password.
– Accurate company information (e.g., business name, VAT number, physical address, and contact details).

3.2 Account Security
– You are responsible for maintaining the confidentiality of your login credentials.
– Notify us immediately of unauthorized account use.
– We reserve the right to introduce additional authentication methods (e.g., PIN, Biometrics, 2FA, OTP) in the future, subject to updated Terms.

4. Use of the Service
4.1 License
We grant you a limited, non-exclusive, non-transferable license to use Tengai POS for internal business purposes only.

4.2 Prohibited Activities
You agree not to:
– Use Tengai POS for unlawful purposes or fraudulent transactions.
– Reverse-engineer, modify, or distribute the Service.
– Disrupt the Service’s functionality or security.

4.3 Compliance
You must comply with all applicable laws (e.g., VAT regulations, tax reporting) when using Tengai POS.

5. Data Storage and Syncing
5.1 On-Device Storage
– The Mobile App stores data locally on your device.
– Data is periodically synced with Firebase(a 3rd Party system with its own terms and conditions that you are also agreeing to by using Tengai POS) when internet connectivity is available. This means you can still access your data using our Web App and through the Mobile App on a different device simultaneously.

5.2 Data Responsibility
– You are solely responsible for maintaining backups of your data.
– We are not liable for data loss due to sync failures, device damage, or connectivity issues.

5.3 Data Usage

6. Payments and Fees
6.1 Subscription Fees
– Access to Tengai POS may require payment of subscription fees (if applicable). Fees are non-refundable unless required by law.
– We reserve the right to modify pricing with 30 days’ notice.

6.2 Taxes
You are responsible for all taxes (e.g., VAT) related to transactions processed through Tengai POS.

7. Intellectual Property
All rights, titles, and interests in Tengai POS (including software, logos, and trademarks) are owned by Tengai Solutions (Private) Limited. You may not copy, reproduce, or create derivative works without our written consent.

8. Termination
8.1 By You
You may terminate your account at any time via the Service dashboard, if you cannot do so please contact us.

8.2 By Us
We may suspend or terminate your access immediately if you:
– Violate these Terms.
– Engage in fraudulent or harmful activities.
– Request Account termination

8.3 Data Post-Termination
Upon termination, your data may be deleted from our servers and we will not be able to recover your data. Export your data regularly.

9. Disclaimers
Tengai POS is provided “*as is*” without warranties of any kind. We do not guarantee uninterrupted, error-free, or secure operation of the Service.

10. Limitation of Liability
To the fullest extent permitted by law, we are not liable for:
– Indirect, incidental, or consequential damages arising from your use of Tengai POS.
– Losses due to third-party services (e.g., Firebase, payment processors).

11. Governing Law
These Terms are governed by the laws of “the Republic of Zimbabwe and other countries”. Disputes will be resolved in the courts of Zimbabwe.

12. Changes to Terms
We may update these Terms at any time. Continued use of Tengai POS after changes constitutes acceptance. We may notify you via email or in-app alerts.
